Terms & Conditions

These Terms & Conditions (“Terms”) cover your organisation’s use of the Leio supply chain planning platform and any related implementation or advisory services.

1. Scope

The specific functionality, integrations, and service levels are defined in the applicable order form or subscription.

2. Accounts & Use

  • Only authorised team members may access the platform, and credentials must be kept confidential.

  • You are responsible for the data you upload and for complying with applicable laws and procurement policies.

  • Notify support@leio.io immediately of any suspected unauthorised use.

3. Customer Inputs

  • Provide timely access to data, systems, or stakeholders needed to configure Leio for your supply chain.

  • Ensure you have rights to use and share the data you provide.

4. Fees

Pricing, billing frequency, and payment terms are set out in the order form. Fees are exclusive of applicable taxes.

5. Term & Termination

The subscription runs for the period in the order form. Either party may terminate for uncured material breach with 30 days’ written notice. When the agreement ends, access to the platform ceases; we can help export your data on request.

6. Confidentiality & Data

Each party will protect the other’s confidential information and use it only to deliver or receive the services.

You retain ownership of customer data. You grant Leio a limited licence to process that data solely to provide and improve the services.

7. Intellectual Property

Leio owns all IP in the platform, deliverables, and documentation. No rights are granted beyond those necessary to use the service.

8. Warranties & Disclaimers

We warrant that the services will materially conform to the agreed specification. All other warranties are disclaimed to the fullest extent permitted by law.

9. Liability

Neither party is liable for indirect or consequential losses. Each party’s aggregate liability is capped at the fees paid or payable in the 12 months before the claim.

10. Data Protection

Personal data is handled in line with our Privacy Policy and any data processing agreement in place with your organisation.

11. Governing Law

These Terms are governed by Estonian law, and disputes will be heard in the courts of Estonia unless we agree otherwise.

12. Updates

We may update these Terms. Material changes will be shared via email or through the platform. Continued use after notice means you accept the update.
